HAWAIIDEED LLC — TERMS OF SERVICE AGREEMENT

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING OUR SITE OR OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, PLEASE DO NOT ACCESS OR USE THE SITE OR THE SERVICES.
ACCEPTANCE OF TERMS
These Terms of Service (the "TOS") constitute a legally binding agreement governing the relationship between HawaiiDeed LLC ("HawaiiDeed," "HD," "we," "our," or "us"), located at 1441 Kapiolani Blvd. STE 1114, PMB 86045, Honolulu, Hawaii 96814, and users of the HawaiiDeed website, www.hawaiideed.com (the "Site"), and the services offered through it (the "Services").
Any visitor to the Site is deemed a "user" of the Services for purposes of this TOS.
DESCRIPTION OF SERVICES OFFERED
HawaiiDeed LLC provides property document services relating to Hawaii real property. HawaiiDeed retrieves Hawaii deeds, reviews Hawaii deeds and provides informational reports concerning them, and prepares and records Hawaii deeds based upon information supplied by users.
The Site also provides general information about Hawaii real property, title, and conveyancing practice.
HawaiiDeed may at its discretion offer additional Services, or update, modify, or revise existing Services and content, and this TOS shall apply to all such additional, updated, modified, or revised Services unless otherwise stated. HawaiiDeed reserves the right to discontinue any Service. HawaiiDeed shall not be liable for any such update, modification, revision, suspension, or discontinuance.
Your continued use of the Services after the posting of any change to this TOS constitutes your acceptance of that change. You should review this TOS periodically to remain aware of the terms in effect. If you do not agree to a revised TOS, you must discontinue use of the Services.
The Services are provided "AS IS" and "AS AVAILABLE." HawaiiDeed assumes no responsibility for the timeliness, delivery, deletion, or failure to store any user content or communication.
NO LEGAL ADVICE; NO ATTORNEY-CLIENT RELATIONSHIP
The Site provides information that may have legal consequences. Nothing contained on the Site, and nothing furnished as part of the Services, is or should be construed as legal advice.
HawaiiDeed LLC provides document preparation, retrieval, review, and recording services. It does not, through the Site or the Services, provide legal representation or legal advice. Legal services, if any, are provided only under a separate written engagement agreement with a licensed Hawaii attorney.
Your use of the Site, submission of information through the Site, or communication with HawaiiDeed by email, text message, or telephone does not create an attorney-client relationship. Until an attorney-client relationship is established by separate written engagement, information you submit is not protected as a privileged attorney-client communication.
HawaiiDeed disclaims all liability for the legal effect of documents requested, solicited, or sought by users.
ACCURACY OF INFORMATION YOU PROVIDE
Documents prepared by HawaiiDeed are based on the information you supply. You are responsible for the accuracy and completeness of that information, including names, property identifiers, mailing addresses, email addresses, and telephone numbers.
HawaiiDeed is not responsible for errors, delays, rejections, or failures of delivery arising from inaccurate or incomplete information supplied by a user.
TEXT MESSAGING
Acceptance of this TOS does not constitute consent to receive text messages from HawaiiDeed LLC.
Consent to receive text messages is obtained separately and affirmatively, either by checking a dedicated consent box on our inquiry form or by giving verbal consent during a telephone call to our office. Consent is never a condition of using the Site, contacting us, or receiving Services.
Text messages sent by HawaiiDeed relate solely to a user's own inquiry and correspondence with our office. HawaiiDeed sends no marketing or promotional text messages.
The terms governing our text messaging program, including message frequency, applicable rates, opt-out and help instructions, and carrier disclaimers, are set forth at www.hawaiideed.com/sms-terms and are incorporated herein by reference.
Handling of mobile telephone numbers and SMS consent is governed by our Privacy Policy at www.hawaiideed.com/privacypolicy.
USER CONTENT AND CONTRIBUTIONS
HawaiiDeed does not claim ownership of documents, property information, or other content you submit for the purpose of obtaining Services. Such content is used solely to perform the Services you have requested and is handled in accordance with our Privacy Policy.
Separately, if you submit ideas, suggestions, feedback, or proposals concerning the Site or the Services ("Contributions"), you acknowledge and agree that:
Your Contributions do not contain confidential or proprietary information;
HawaiiDeed is under no obligation to maintain the confidentiality of any Contribution;
HawaiiDeed may use or disclose any Contribution as it sees fit;
Contributions become the property of HawaiiDeed; and
HawaiiDeed is under no obligation to compensate or reimburse you for any Contribution.
INDEMNITY
You agree to indemnify and hold harmless HawaiiDeed LLC and its members, officers, employees, agents, and service providers from any claim or demand, including reasonable attorneys' fees, arising from content you submit, your use of the Services, your violation of this TOS, or your violation of the rights of any other person.
WARRANTY DISCLAIMERS
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HAWAIIDEED LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
HAWAIIDEED MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED FROM HAWAIIDEED OR THROUGH THE SERVICES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS TOS.
LIMITATION OF LIABILITY
YOU ACKNOWLEDGE AND AGREE THAT HAWAIIDEED LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM:
THE USE OF OR INABILITY TO USE THE SERVICES;
THE COST OF PROCURING SUBSTITUTE GOODS OR SERVICES;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
STATEMENTS OR CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SERVICES; OR
ANY OTHER MATTER RELATING TO THE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
RELEASE
In the event of a dispute, you agree to release HawaiiDeed LLC, together with its members, officers, employees, agents, affiliates, and service providers, from claims, demands, and damages, actual and consequential, of every kind and nature, known and unknown, arising out of or in any way connected to such dispute.
COMMERCIAL REUSE OF SERVICES
You agree not to replicate, duplicate, copy, trade, sell, resell, or exploit for any commercial purpose any portion of the Site or the Services, or access to them.
LINKS
HawaiiDeed or third parties may provide links to other websites or resources. We are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible for any content, products, advertising, or materials available from them.
HawaiiDeed shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by the use of or reliance on any content, goods, or services available through any such site or resource.
PROPRIETARY RIGHTS
You acknowledge that the Services and any software used in connection with the Services contain proprietary and confidential material protected by applicable intellectual property law.
Except as expressly permitted by applicable law or authorized in writing by HawaiiDeed, you agree not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform, or create derivative works based on the Services or such software, in whole or in part.
HawaiiDeed grants you a personal, non-transferable, non-exclusive right to use the Services for their intended purpose. You agree not to reverse engineer, reverse assemble, or otherwise attempt to discover any source code, and not to access the Services by any means other than the interface provided by HawaiiDeed.
TRADEMARK INFORMATION
All HawaiiDeed LLC trademarks, service marks, trade names, logos, and brand features are and remain the property of HawaiiDeed LLC. You agree not to display or use any HawaiiDeed mark without prior written consent.
COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS
HawaiiDeed respects the intellectual property of others and asks that users do the same. In appropriate circumstances and at its sole discretion, HawaiiDeed may terminate the access of any user who infringes the rights of others.
If you believe your work has been used in a manner constituting copyright infringement, or that your intellectual property rights have otherwise been violated, please provide the following:
The electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
A description of the copyrighted work or other intellectual property you believe has been infringed;
A description of the location on the Site of the material you allege to be infringing;
Your physical address, telephone number, and email address;
A statement that the disputed use is not authorized by the copyright owner, its agent, or the law; and
A statement, made under penalty of perjury, that the information in your notice is truthful and accurate and that you are the owner or an authorized agent of the owner.

NOTICES
HawaiiDeed may furnish you with notices regarding changes to this TOS or the Services by email, regular mail, or posting on the Site.
HawaiiDeed will send notices by text message only to users who have separately and affirmatively consented to receive text messages as described in the TEXT MESSAGING section above. Nothing in this section constitutes or implies consent to receive text messages.
THIRD PARTY BENEFICIARIES
Except as expressly provided in this TOS, there shall be no third-party beneficiaries to this agreement.
ENTIRE AGREEMENT
This TOS constitutes the entire agreement between you and HawaiiDeed LLC governing use of the Services, superseding any prior version. You may be subject to additional terms that apply when you purchase or use particular Services.
CHOICE OF LAW AND FORUM
This TOS and the relationship between you and HawaiiDeed LLC shall be governed by the laws of the State of Hawaii, without regard to its conflict of law provisions.
Any claim, cause of action, or dispute arising out of or relating to this TOS, or to the relationship between you and HawaiiDeed LLC, shall be filed in the courts having jurisdiction within the City and County of Honolulu, State of Hawaii, or in the United States District Court for the District of Hawaii. You and HawaiiDeed LLC agree to submit to the jurisdiction of those courts and waive any objection to venue in them.
WAIVER AND SEVERABILITY OF TERMS
Any failure by HawaiiDeed to exercise or enforce a right or provision of this TOS shall not constitute a waiver of that right or provision.
If any provision of this TOS is found by a court of competent jurisdiction to be invalid, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in that provision, and the remaining provisions shall remain in full force and effect.
STATUTE OF LIMITATIONS
Regardless of any statute or law to the contrary, any claim or action arising out of or relating to the use of the Services or to this TOS must be filed within six (6) years after the claim or cause of action arose, or be forever barred.
